1. Introduction

Welcome to www.nutrifuelnutrition.com (the "Service"), operated by Russo Nutritional Systems, LLC, doing business as Nutrifuel Nutrition ("we," "us," or "our"), a Michigan Limited Liability Company located at 1345 Monroe NW, Suite 256, Grand Rapids, MI 49505. By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who interact with the Service.

2. Purchases

When making a purchase through the Service ("Purchase"), you may be required to provide certain information, including but not limited to your credit card number, expiration date, billing address, and shipping information. You represent and warrant that:

1. You have the legal right to use any payment method(s) in connection with your Purchase.
2. The information you provide is true, accurate, and complete.
   
   

We utilize third-party services to facilitate payment processing and order fulfillment. By submitting your information, you authorize us to share it with these third parties in accordance with our Privacy Policy.

We reserve the right to refuse or cancel any order at our sole discretion for reasons including, but not limited to, product or service availability, errors in product descriptions or pricing, errors in your order, or suspected fraud or unauthorized transactions.

3. Availability, Errors, and Inaccuracies

We strive to maintain accurate and up-to-date information on the Service. However, product and service offerings may occasionally be mispriced, described inaccurately, or unavailable. We may experience delays in updating information on the Service or in our advertising on other websites. We do not guarantee the accuracy or completeness of any information on the Service and reserve the right to correct errors, inaccuracies, or omissions and to update or change information without prior notice.

4. Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, or promotions ("Promotions") offered through the Service may be governed by separate rules. If you participate in any Promotions, please review the applicable rules and our Privacy Policy. In the event of a conflict between Promotion rules and these Terms, the Promotion rules will take precedence.

5. Subscriptions

Certain parts of the Service are offered on a subscription basis ("Subscription(s)"). Subscriptions are billed in advance on a recurring basis ("Billing Cycle"), either monthly or annually, depending on the plan selected. Your Subscription will automatically renew under the same conditions unless canceled by you or Nutrifuel Nutrition. You may cancel your Subscription through your online account management page or by contacting our customer support team at info@nutrifuelnutrition.com.

Repeatedly creating and canceling subscriptions to exploit discounts is a violation of these Terms and may result in a permanent ban from future subscriptions.

A valid payment method, such as a credit card, is required to process Subscription payments. You must provide accurate and complete billing information, including full name, address, state, zip code, telephone number, and valid payment method details. By submitting this information, you authorize Nutrifuel Nutrition to charge all Subscription fees to the provided payment method. If automatic billing fails, we will issue an electronic invoice with a deadline for manual payment.

5.1 Fee Changes

We may modify Subscription fees at our sole discretion. Any changes will take effect at the end of the current Billing Cycle, and you will be notified in advance to allow you to terminate your Subscription if desired. Continued use of the Service after a fee change constitutes your agreement to the modified fees.

6. Shipping

6.1 Domestic Shipping

Orders are processed within 2-3 business days and are not shipped on weekends or holidays. You will receive a Shipment Confirmation email with tracking information once your order ships. Tracking numbers typically become active within 24-48 hours, depending on the carrier. During high order volumes, shipments may be delayed, and we will notify you via email of any significant delays.

Shipping charges and taxes are calculated and displayed at checkout. Overnight delivery is available only within the continental United States. Nutrifuel Nutrition is not liable for products damaged or lost during shipping. If your order arrives damaged, please contact the carrier to file a claim and retain all packaging materials.

6.2 International Shipping

We offer international shipping, with transit times typically ranging from 4 to 22 days, depending on the courier. Import duties, taxes, and brokerage fees are not included in the product price or shipping costs and are the recipient’s responsibility. Please check with your country’s customs office to determine these additional costs. Shipping charges are calculated and displayed at checkout.

7. Returns and Refunds

Our return policy lasts 10 days from the date of purchase. To be eligible for a return, the item must be unused, in its original condition, and in unopened original packaging. A receipt or proof of purchase is required. To initiate a return, mail your item to: Nutrifuel Nutrition, 1345 Monroe NW, Suite 121, Grand Rapids, MI 49505, United States.

You are responsible for return shipping costs, which are non-refundable. For items valued over $75, we recommend using a trackable shipping service or purchasing shipping insurance, as we cannot guarantee receipt of returned items.

7.1 Non-Returnable Items

The following items are non-returnable:

1. Gift cards
2. Downloadable products
3. Subscription fees
4. Meal Systems and Meal System products

7.2 Refund Process

Once your return is received and inspected, we will notify you via email of the approval or rejection of your refund. If approved, the refund will be processed to your original payment method within your credit card’s standard processing timeframe. Return shipping costs will be deducted from the refund amount.

7.3 Partial Refunds

Partial refunds may be granted, subject to review, for:

1. Books or pamphlets with obvious signs of use.
2. Items not in their original condition, damaged, or missing parts for reasons not attributable to us.
3. Items returned more than 30 days after delivery.

7.4 Late or Missing Refunds

If you have not received your refund, please:

1. Check your bank account.
2. Contact your credit card company, as processing times may vary.
3. Contact your bank to confirm any additional processing requirements.

7.5 Sale Items

Only regular-priced items are eligible for refunds. Sale items are non-refundable.

7.6 Exchanges

We replace items only if they are defective or damaged. To request an exchange, email us at info@nutrifuelnutrition.com and send the item to the address above.

7.7 Gifts

For items marked as gifts and shipped directly to you, a gift credit will be issued upon receipt of the return, and a gift certificate will be mailed to you. If the item was not marked as a gift or was shipped to the gift giver, the refund will be issued to the original purchaser, who will be notified of the return.

8. Accounts

When creating an account, you represent that you are over 18 years of age and that the information provided is accurate, complete, and current. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You accept responsibility for all activities under your account and must notify us immediately of any breach of security or unauthorized use at info@nutrifuelnutrition.com.

You may not use a username that is unlawful, belongs to another person or entity, or is offensive, vulgar, or obscene. We reserve the right to refuse service, terminate accounts, remove content, or cancel orders at our sole discretion.

9. Intellectual Property

The Service and its original content, features, and functionality are the exclusive property of Nutrifuel Nutrition and its licensors, protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used without prior written consent.

10. Links to Third-Party Websites

The Service may contain links to third-party websites or services not owned or controlled by Nutrifuel Nutrition. We are not responsible for the content, privacy policies, or practices of these third-party sites and do not warrant their offerings. You acknowledge that Nutrifuel Nutrition is not liable for any damages or losses caused by your use of or reliance on third-party websites. We recommend reviewing the terms and privacy policies of any third-party sites you visit.

11. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including breach of these Terms. You may terminate your account by discontinuing use of the Service. Provisions of these Terms that should survive termination (e.g., ownership provisions, warranty disclaimers, indemnity, and limitations of liability) will remain in effect.

12. Indemnification

You agree to defend, indemnify, and hold harmless Nutrifuel Nutrition, its affiliates, licensors, and their respective employees, contractors, agents, officers, and directors from any claims, damages, liabilities, losses, costs, or expenses (including attorney’s fees) arising from your use of the Service, violation of these Terms, or use of your account by any person.

13. Limitation of Liability

To the fullest extent permitted by law, Nutrifuel Nutrition, its directors, employees, partners, agents, suppliers, or affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of, or inability to access or use, the Service.
2. Any third-party conduct or content on the Service.
3. Any content obtained from the Service.
4. Unauthorized access, use, or alteration of your transmissions or content.
   
   

This applies regardless of the legal theory (e.g., warranty, contract, tort) and even if we have been advised of the possibility of such damages.

14. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or course of performance. Nutrifuel Nutrition does not warrant that:

1. The Service will be uninterrupted, secure, or available at any time or location.
2. Errors or defects will be corrected.
3. The Service is free of viruses or harmful components.
4. The results of using the Service will meet your requirements.

15. Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability for consequential or incidental damages, so some of the above limitations may not apply to you.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Kent County, Michigan, for state court actions, or the United States District Court for the Western District of Michigan for federal court actions.

17. Changes to Terms

We reserve the right to modify or replace these Terms at our sole discretion. For material changes, we will provide at least 30 days’ notice before the new Terms take effect. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

Nutrifuel Nutrition Affiliate Program Agreement

1. Introduction

This Affiliate Program Agreement ("Agreement") governs your participation in the Nutrifuel Nutrition Affiliate Program ("Program") operated by Russo Nutritional Systems, LLC, doing business as Nutrifuel Nutrition, located at 1345 Monroe NW, Suite 256, Grand Rapids, MI 49505. By joining the Program, you agree to comply with these terms. Please read them carefully.

2. Definitions

1. "We," "us," "our," or "Merchant" refers to Nutrifuel Nutrition and our website, www.nutrifuelnutrition.com.
2. "You" or "your" refers to the Affiliate.
3. "Program" refers to the Nutrifuel Nutrition Affiliate Program.
4. "Your website" refers to any website(s) you use to link to our website.

3. Enrollment

To apply for the Program, you must complete and submit the online application. We will review your application and website within 5 business days and notify you of your acceptance or rejection. We reserve the right to reject any application at our discretion but encourage you to contact us at info@nutrifuelnutrition.com if you believe our decision was incorrect. Including all relevant websites in your application will aid our evaluation.

4. Website Restrictions

Your participating website(s) must not:

1. Infringe on our or any third party’s intellectual property, publicity, or privacy rights.
2. Violate any laws, rules, regulations, or make unauthorized health claims.
3. Contain threatening, harassing, defamatory, obscene, harmful, or sexually explicit content.
4. Include viruses, Trojan horses, worms, or other harmful software.
5. Use technology to intercept, divert, or redirect traffic or affiliate earnings.

5. Linking to Our Website

Upon acceptance, you will gain access to affiliate links, banners, and tracking codes through the affiliate interface. You agree to:

1. Use only the provided linking code without manipulation.
2. List all domains using your affiliate link in your affiliate profile.
3. Avoid copying or mimicking the look and feel of our website or creating the impression that your website is part of ours.
4. Refrain from cookie stuffing, pop-ups, false or misleading links, or cloaking to hide the source of clicks.
5. Maintain and update your website, allowing us to monitor it for compliance.

6. Pay-Per-Click (PPC) Guidelines

You may not:

1. Bid on our trademarked terms (e.g., Nutrifuel®, nutrifuelnutrition.com, or variations) for search or content-based campaigns on Google, Bing, Yahoo, Facebook, or other networks without written permission.
2. Use our trademarked terms in ad titles, copy, display names, or URLs.
3. Direct-link to our website from PPC ads or use redirects that mimic direct links.
4. Bid to appear higher than us in positions 1-5 in auction-style PPC advertising.
   
   

You must exclude our trademarked terms as negative keywords in automated PPC campaigns. Violation of these guidelines may result in removal from the Program and reversal of commissions.

7. Coupon Guidelines

If promoting coupon codes, you must:

1. Use only coupon codes provided through the Program.
2. Display coupons in their entirety, including full offer details, valid expiration dates, and codes.
3. Avoid posting workarounds for coupon restrictions or using non-affiliate coupon sources.
4. Refrain from implying that ongoing offers require clicking from your website.
   
   

Affiliates primarily posting coupons may not receive commissions for sales without a valid coupon code. Invalid codes include expired, non-specific, or sitewide offers not requiring a code.

8. Social Media

You may promote offers on your own social media accounts (e.g., Facebook, Twitter, Instagram, YouTube) using approved coupons or offers. However, you may not:

1. Post affiliate links on our official social media accounts or pages.
2. Run ads with our trademarked terms.
3. Create social media accounts that include our trademarks in the page name or username.
   
   

Violations may result in account termination and forfeiture of earnings.

9. Advertising and Publicity

You may not create, publish, or distribute written materials referencing the Program without our prior written consent. Email campaigns must comply with the CAN-SPAM Act of 2003, be sent on your behalf, and be submitted for our approval or copied to us.

10. FTC Disclosure Requirements

You must include a clear and concise disclosure statement on any page, blog post, or social media post containing affiliate links, stating that you are compensated for endorsements or reviews. If you received a product for free for review, this must also be disclosed. Disclosures should be visible above the fold and comply with FTC guidelines (see http://www.ftc.gov/os/2013/03/130312dotcomdisclosures.pdf and http://business.ftc.gov/advertising-and-marketing/endorsements).

11. Operations Outside the United States

Affiliate registration is currently limited to the United States.

12. Payment

Affiliates can earn up to 10% commission on qualifying product sales through their affiliate links, with some products having lower or fixed rates. You must submit a valid W-9 Form to info@nutrifuelnutrition.com before receiving payments. Payments are made via check on a Net-30 basis, calculated on the first business day of the month, and sent within five business days if payable earnings reach $100 or more. Earnings below $100 will roll over to the next month. You are responsible for any taxes on earned commissions.

13. Transaction Lock Dates

Sales remain in a pending period until locked per Program parameters. Locked payments are processed after the lock date.

14. Reversal and Communication Policy

We may reverse orders due to cancellations, returns, chargebacks, or Program violations. If we request clarification on orders or clicks suspected of violating these Terms, you must respond promptly and honestly. Failure to do so, including being vague, unresponsive, or unable to validate traffic sources, may result in order reversals, commission reductions, or Program suspension/termination.

15. Grant of Licenses

We grant you a non-exclusive, non-transferable, revocable license to:

1. Access our website through provided HTML links.
2. Use our logos, trade names, and trademarks ("Licensed Materials") solely for Program participation.
   
   

You may not modify Licensed Materials, and all use must benefit the Program. We retain all rights to Licensed Materials and may revoke this license with notice.

16. Representations and Warranties

You represent and warrant that:

1. This Agreement is a valid and binding obligation.
2. You have the authority to enter into and perform under this Agreement.
3. You have sufficient rights to grant us the licenses herein.

17. Disclaimer

Nutrifuel Nutrition makes no express or implied warranties regarding the Program, Service, website, or products, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation of the website or Program.

18. Limitation of Liability

We are not liable for any indirect, incidental, consequential, special, or exemplary damages arising from this Agreement, including loss of revenue, goodwill, or profits, even if advised of such damages. Our cumulative liability will not exceed the total commission fees paid to you in the preceding 12 months.

19. Indemnification

You agree to indemnify and hold harmless Nutrifuel Nutrition, its affiliates, and their respective directors, officers, employees, and agents against any claims, losses, damages, or expenses (including attorney’s fees) arising from:

1. Claims that our use of affiliate trademarks infringes third-party rights.
2. Misrepresentations or breaches of this Agreement.
3. Claims related to your website or its content not attributable to us.

20. Confidentiality

All confidential information disclosed during this Agreement remains the property of the disclosing party. You may not use or disclose such information without written permission.

21. Miscellaneous

1. You are an independent contractor, and this Agreement does not create a partnership, joint venture, agency, or employment relationship.
2. You are responsible for taxes on your earnings.
3. This Agreement is governed by Michigan law, and disputes shall be resolved through binding arbitration in Kent County, Michigan, under American Arbitration Association rules.
4. Neither party may assign rights or obligations without consent, except in the case of a business or asset transfer.
5. This Agreement constitutes the entire understanding between the parties, superseding prior agreements.
6. Invalid provisions will be limited or eliminated to maintain the Agreement’s intent.
7. Facsimile or electronic signatures are treated as originals.
8. The statute of limitations for claims against us is six months from the claim’s date.

22. Independent Investigation

You acknowledge that you have read and agree to these Terms, have independently evaluated the desirability of participating in the Program, and are not relying on any representations or guarantees other than those set forth herein.
